Seychelles International Business CompanyA Seychelles International Business Company (IBC) is one of the most sought after offshore company structures available because the Republic of Seychelles is an independent, democratic republic offering excellent privacy and security guarantees to the holders of such structures.

This article offers an overview of the features of a Seychelles International Business Company and how to go about the incorporation of such a structure.

The Seychelles are a group of islands situated in the Indian Ocean which were once ruled by Great Britain but which received independence in 1976.  The legal system in the republic is still based on English Common Law but also includes features of French Civil Law.

The incorporation of an International Business Company in the Seychelles is straightforward and swift taking on average just five working days.  There are many companies who specialize in the incorporation process who can assist with filing the Memorandum of Association at the Registry for example and also with the provision of a registered office in the Seychelles as well: which is a requirement for the incorporation of an IBC.

If you need international legislation for the incorporation of your IBC you will require Apostilles and all of your relevant company details and documents will have to filed at the Registry in the Seychelles.

The main benefits of incorporating your International Business Company structure in the Seychelles are: -

- All Seychelles IBCs are exempt from taxation on all and any income earned, received or derived outside of the republic.

- You do not have to prepare or submit company accounts.

- You do not need a company auditor.

- A Seychelles IBC needs only one shareholder and one director - these can be the same physical person or corporate body and/or they can be nominee shareholder and director.  Their names must appear on public records so the nominee option is attractive.

- There are no minimums or maximums when it comes to capital requirements for the incorporation of an IBC.

The only restrictions placed on an IBC are: -

- A Seychelles International Business Company cannot do any business with Seychelles residents.

- It cannot hold real estate or real property in the republic.

- Without the proper licensing such an IBC cannot operate in the banking, trust, insurance or re-insurance businesses.

- Such a company structure cannot offer company management, incorporation or registered office services to other IBCs.
